PDGA Board of Directors Officers Appointed for 2017-2018

On the evening of September 5th, 2017, the PDGA Board of Directors held a vote during their monthly teleconference for the officer positions of President, Vice President, Treasurer, and Secretary. The results are listed below.

President

The President shall act as the PDGA Commissioner and shall be the principal executive officer of the Corporation. The President shall in general supervise and control all of the business and affairs of the Corporation, and shall preside at all meetings of the Board of Directors. He or she may sign, with the Secretary or any other proper officer of the Corporation thereunto authorized by the Board of Directors, any deeds, mortgages, bonds, contracts, or other instruments, which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by these Bylaws to some other officer or agent of the Corporation, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of President and such other duties as may be prescribed by the Board of Directors from time to time.

Vice President

In the absence of the President or in the event of his or her inability or refusal to act, the Vice-President (or in the event there be more than one Vice-President, the Vice-Presidents in the order of their election) shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. Any Vice-President shall perform such duties as from time to time may be assigned to him or her by the President or by the Board of Directors.

Treasurer

The Treasurer: (a) have charge and custody of and be responsible for all funds of the Corporation from any source whatsoever, and deposit all such monies in the name of the Corporation in such banks, trust companies or other depositories as shall be selected in accordance with the provisions of Article V of these Bylaws; and, (b) in general perform all duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him or her by the President or by the Board of Directors.

Secretary

The Secretary shall: (a) keep the Minutes of the Board of Directors' meetings in one or more books provided for that purpose; (b) see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law; (c) be custodian of the corporate records; and, (d) in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him or her by the President or by the Board of Directors.

Special Appointments to the Board

The Board of Directors also made two special appointments to the Board.

Bob Decker #17745

Bob was appointed to the Board during the previous August monthly teleconference to complete the remaining 1-year term of Hans Nagtegaal who resigned from the Board on August 1, 2017 due to professional reasons. In accordance with PDGA bylaws and past precedence, the Board candidate who receives the next most votes outside of winning a position may be appointed into a voided position to complete the remaining term of his/her predecessor. Bob received the third most votes in the 2017 PDGA Board of Directors election in which two Board positions were up for election.

Elaine King #3090

Elaine was appointed to a two-year term to add diversity to an all-male Board consisting of US nationals. In accordance with the PDGA bylaws, "A minority of the Board of Directors may be appointed by the Board of Directors in order to fulfill the needs of the Corporation, as determined by the Board, for additional experience and skill sets on the Board of Directors in accordance with procedures established from time to time by the Directors." Elaine not only provides female representation on the Board, but as a Canadian national, she also contributes an international perspective to the PDGA Global Board of Directors. Elaine also serves as a Board member on the PDGA Europe Board of Directors and will serve as the liaison between the two Boards. As a multi-crowned World Champion, she brings vast knowledge and expertise that will greatly benefit the PDGA as we adapt to the exponential growth and popularity of disc golf around the world.
